Terms of Service

1. Introduction

Welcome to docent (“the App”). By using the App, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the App.

2. User Accounts

To use certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

3. User Content

By creating, submitting, or posting content (“User Content”) on or through the App, you grant Docent AI Custom Podcast Network LLC a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any and all media formats and channels now known or later developed. You acknowledge and agree that Docent AI Custom Podcast Network LLC reserves the right to publish, at our sole discretion, any User Content created on the App to our public content library. This means that if you create a podcast on our platform, we may decide to make it available to other users at a later date. You are solely responsible for all User Content you create, submit, or post, and you represent and warrant that you own all intellectual property rights in your User Content or have obtained all necessary permissions or licenses from the appropriate third parties to post such User Content on the App.

4. Prohibited Conduct

You agree not to engage in any of the following prohibited activities: (i) Violating any applicable laws or regulations; (ii) Infringing the intellectual property rights of others; (iii) Posting content that is unlawful, harmful, defamatory, obscene, racist, homophobic, promotes hate speech, or otherwise objectionable; (iv) Engaging in any activity that could disrupt or interfere with the functioning of the App. We reserve the right to suspend or terminate your account if you engage in any prohibited activities or otherwise violate these Terms.

5. Intellectual Property

All intellectual property rights in the App and its content (excluding User Content) are owned by Docent AI Custom Podcast Network LLC or its licensors. You agree not to copy, reproduce, distribute, or create derivative works based on the App or its content without our prior written consent.

6. Termination

We may terminate or suspend your account and access to the App at any time, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

7. Disclaimer of Warranties

The App is provided on an “as is” and “as available” basis. We make no warranties, expressed or implied, regarding the App, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall Docent AI Custom Podcast Network LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the App; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our App by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the App, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been advised of the possibility of such damages.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
